Michael Smith is a business and securities law attorney at Carlile Patchen & Murphy LLP. He concentrates his practice in corporate finance, mergers and acquisitions, technology transactions and licensing, banking, and securities compliance. Mike advises clients ranging from emerging businesses to established corporations on complex transactions, regulatory matters, and strategic legal planning. He joined CPM in February 1991 and served as Chairman of the firm’s Business Law Practice Group.
Throughout his career, Mike has served as counsel for numerous public offerings, including Wendy’s International, Bob Evans Farms, AdCare Health Systems, Health In Tech, and SCI Engineered Materials. He has drafted or reviewed more than 100 private placement memorandums, supporting capital raises totaling over $500 million. Mike has also acted as primary counsel in more than 100 mergers and acquisitions and has served as a non-testifying expert in securities and corporate governance matters.
Mike received his undergraduate degree (B.S.) with honors from Kenyon College in 1979 and his law degree (J.D.) from The Ohio State University Moritz College of Law in 1982.
Mike is active in the legal and business community. He is the former Chairman of the Business Law Committee of the Columbus Bar Association and currently serves on the Board of the TriVillage Chamber Partnership. He is a member of the Ohio State Bar Association’s Sections on Corporation, Banking, Business, and Securities Law.
Mike has received the Martindale-Hubbell® rating of BV Distinguished®. He has been recognized in “Best Lawyers in America” by Best Lawyers® (2013, 2014, and 2018-2025). He was also named “Lawyer of the Year” by Best Lawyers® for Business Organizations, including LLCs and Partnerships (2017 and 2022).
Mike enjoys biking, hunting, hiking, shotgun sports, and family activities. Every year Mike leads a team to participate in Pelotonia’s signature Ride Weekend, an annual 3-day event focused on cycling, and fundraising for cancer research.
